Corporate law has emerged as an area of law which has witnessed unprecedented growth in the recent and not so recent past. As a field of study, it is dynamic and constantly evolving the course seeks to provide a learner with a basic understanding of key concepts and principles of company law. It concentrates on those aspects that are central to an understanding of how the law applies to companies and is peculiar to them. The course begins by addressing the advantages that flow from incorporating a company. It then proceeds to provide an overview of the basic documents of the company i.e the Memorandum of Association and the Article of Association. It also seeks to developing an understanding of shares. It involves at discussion of corporate governance and the extent to which the law accommodates the interests of those involved in the activities of a company-whether as shareholders or directors. The law relating to dividends and audits is also referred to. The provisions relating to winding up of companies are examined. Lastly, law relating to depositories is also analyzed. In a nutshell, the course provides a comprehensive understanding of the legal framework within which corporate entities have to confine their activities. Hence, it is of critical importance to those who seek to work in the corporate sector, on the managerial side as well as the legal side.
